Linklaters advises Voilàp Group on the acquisition of Stürtz Group

Linklaters has advised Voilàp Group, an international industrial and technology group headquartered in Soliera, Italy, on its acquisition of assets and subsidiaries of Stürtz Group from insolvency proceedings. The German Stürtz Group is a specialist in machinery for window and façade construction. The deal further consolidates Voilàp’s position as premium supplier of machinery for window and façade construction.

To strengthen its portfolio, Voilàp will integrate Stürtz as a premium brand for PVC machinery, complementing its existing brands elumatec (aluminium machinery) and Keraglass (glass machinery). As part of the transaction, Voilàp is taking on all Stürtz employees, securing more than 350 jobs and preserving the brand’s valuable expertise.

The transaction was structured as a hybrid asset and share deal. The asset deal comprised the production facility, real estate, machinery, intellectual property, brands, software, workforce, order backlog, and inventories. In parallel, Voilàp acquired the shares in Stürtz’s international subsidiaries in Canada, Poland, the UK, and the USA. Stürtz will continue to operate as an independent organisation and maintain its brand identity within Voilàp Group.
