Linklaters advises on complex fund structuring and real estate transaction involving City Dock Mannheim Süd
Linklaters has successfully advised BNP Paribas Real Estate Investment Management Germany GmbH (BNP Paribas REIM) on the structuring, launch and investment in Quantum Light Industrial II GmbH & Co. Geschlossene Investmentkommanditgesellschaft, managed by Quantum Immobilien Kapitalverwaltungsgesellschaft (Quantum KVG), as well as Quantum KVG on the acquisition of the business park “City Dock Mannheim Süd”.
The real estate aspects of the acquisition process for Quantum KVG were handled by a Real Estate team led by Dr. Laura von Samson (Counsel). Investment law advice for BNP Paribas REIM was provided by an Investment Funds team led by Olena Tokman (Partner). The transaction comprised establishment of a new closed-ended investment limited partnership (fund) managed by Quantum KVG for BNP Paribas REIM (acting on behalf of a contractual special real estate investment fund) as an investor. The fund itself acquired the light industrial property from Panattoni. The modern business park was completed in 2024 and offers approximately 10,700 sqm of usable space.
In addition to real estate and investment fund law, our advice also included insurance regulatory and tax law issues related to the structuring and launch of the fund. The transaction was led by Olena Tokman (Partner, Investment Funds, Frankfurt) and Dr Laura von Samson (Counsel, Real Estate, Frankfurt). Other team members included Wolfram Krüger (Partner, Real Estate, Frankfurt), Dr Ulrich Johann and Anne Katharina Rosenow (both Counsel, Tax, Frankfurt), Kaan Gürer (Counsel, Antitrust & Foreign Investment, Düsseldorf), Dr. Lukas Hüttemann (Managing Associate, Investment Funds, Frankfurt), as well as Associates Maximilian Kühn (Real Estate, Munich), Svenja Schmidt (Real Estate, Frankfurt), David Sandner (Investment Funds, Frankfurt), Johanna Louise Schmidt (Tax, Frankfurt) and Rosa Ajnwojner (Transaction Lawyer, Real Estate, Frankfurt).
This transaction highlights Linklaters’ expertise in advising on complex multi-party matters combining fund structuring and real estate transactions. Linklaters previously advised BNP Paribas REIM in 2023 on its investment in “Quantum Light Industrial I” via a contractual special real estate investment fund managed by BNP Paribas REIM.
