Overview
Carl is a Partner in our private equity team in Frankfurt, advising private equity houses and financial sponsor clients on all forms of downstream private equity work, joint ventures / consortiums, management investment plans and portfolio company advice. Carl has acted for a number of private equity houses and financial sponsors (including Montagu Private Equity, Macquarie, Allianz Capital Partners and Apollo) and other corporate clients.
Carl has gained first-hand insights having spent six months as a secondee with Allianz Capital Partners.
Work highlights
Carl has advised on many market-leading private equity deals. Those of significance where substantial involvement can be disclosed include advising:
- Vodafone: advising on strategic partnership with GIP and KKR for Vantage Towers.
- Allianz Capital Partners: advising on the acquisition of a 18% stake in ATC Europe from American Tower.
- Montagu Private Equity: advising on the acquisition of the Waystone Group.
- CDPQ: advising on the acquisition of Akiem, the leading provider of locomotive leasing services in Europe.
- Apax Partners: advising on the acquisition of Rodenstock.
- Macquarie and Allianz Capital Partners: advising on the bidding process regarding the acquisition of a stake in EWE AG.
- Apollo: advising on the bidding process regarding the acquisition of Xella Group.
- Montagu Private Equity: advising on several acquisitions and divestments, including on the acquisition of Universal-Investment GmbH, on several add-on acquisitions as well as on several divestments, including on the sale of a substantial minority interest in Universal Investment to CPPIB.
- Commerzbank: advising on the sale of its global structured certificates / ETF business in an asset deal to Société Générale.
- Apax Partners: advising on the acquisition of neuraxpharm.
- Takeda: advising on the €350m sale of its haemostasis product TachoSil to Corza Health.
- Universal Investment Group: advising on various acquisitions, including the acquisitions of the Fintech CAPinside, of Metzler’s Irish fund administration business and of the entire issued share capital of European Fund Administration S.A., a Luxembourg-based central administration services provider regulated by the CSSF.
Education and qualifications
Carl has studied law at the University of Freiburg and at the University of Cambridge. He holds a PhD from the University of Mannheim.
He speaks German and English.
