Overview

Alina is specialized in advising on corporate law in connection with national and international M&A and VC transactions as well as restructurings and advising on general corporate and group law matters.

Work highlights
  • E.ON: advising i.a. on the acquisition of all shares in Klarsolar GmbH (2023); the European wide carve-out of E.ON's electric vehicle charging infrastructure (2022) and representation in the appraisal proceedings following the merger squeeze-out of the minority shareholders of innogy SE (since 2020).
  • Nestlé: advising on the carve-out of the European frozen pizza business and creation of a joint venture between Nestlé (2023) and PAI Partners as well as advise on stock corporate law matters.
  • Clark: On the acquisition of finanzen.de Group from Allianz X, the acquisition of Anorak Group, the conversion into an AG and SE as well as several financing rounds and ongoing with regarding stock corporation law matters.
  • Aurelius: advising i.a. on the sale of Distrelec Group to RS Group (2023).
  • Asklepios: advising i.a. on the formation of a joint venture on the public takeover offer for RHÖN-KLINIKUM AG (2020); ongoing on issues of corporate governance and de facto group law.
  • Volkswagen: On the carve-out of MAN's energy solution business and the subsequent IPO of Traton SE (2019) as well as the sale of Volkswagen's 76% stake in listed Renk AG via an auction procedure (2020).
  • HSBC: Representation in the appraisal proceedings following the squeeze-out of its minority shareholders.
  • Qiagen: Advising in connection with the proposed and ultimately failed public takeover by Thermo Fisher Scientific Inc (2020).

Professional experience

Alina was employed from 2015 to 2018 at Dr. Ing. h.c. F. Porsche AG and Porsche Automobil Holding SE as Legal Counsel for Corporate Law. She joined Linklaters in 2018 and was appointed Managing Associate in 2020.

Education and qualifications

Alina studied law at the Westphalian Wilhelms University in Münster, where she later completed a Master's degree in M&A while working. 

She speaks German and English.
